Terms of Service

1. Intellectual Property

Unless otherwise specified in a signed Master Services Agreement (MSA):

• Pre-existing Code: ULB Media retains ownership of any internal libraries or proprietary tools used in development.
• Custom Work: Upon full and final payment, the Intellectual Property (IP) rights for custom-developed source code are transferred to the Client.
• Third-Party Tech: Use of AI models (Gemini, OpenAI) or Cloud services (Vercel, AWS) is subject to their respective terms.

2. SLA & Maintenance

Our Service Level Agreements (SLA) cover system uptime and bug fixes as defined in the specific tier selected. ULB Media is not responsible for downtimes caused by third-party hosting providers or API failures outside of our control.

3. Payment & Billing

Projects are typically billed in stages: Deposit, Milestone Completion, and Final Handover. Monthly SLA fees are billed in advance. Late payments may result in the suspension of support services.

4. Limitation of Liability

To the maximum extent permitted by South African law, ULB Media (Urban Luxury Brands Pty Ltd) shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our software, including loss of profits or data breaches.

5. Governing Law

These terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts in Johannesburg.
